PHOENIX (PHO): Photon Energy a.s. announces transfer of control to Photon Energy N.V. in line with corporate restructuring in preparation of an IPO on the WSE - raport 109

The Management Board of Photon Energy a.s. announces that on 30 December 2010 Photon Energy N.V. became the company's controlling shareholder holding 16,502,300 shares in Photon Energy a.s. representing 71.749% of the company's share capital.

The transfers of Michal Gärtner's and Georg Hotar's shareholdings in Photon Energy a.s. to newly established Photon Energy N.V. based in Amsterdam (Netherlands) marks the completion of steps 1 and 2 outlined in Photon Energy's corporate restructuring in preparation of an IPO on the main market of the WSE as reported in EBI report 81/2010.

Photon Energy N.V. is fully owned by Michal Gärtner and Georg Hotar through their private investment vehicles in the same proportion as their previous respective shareholdings in Photon Energy a.s.
