PHOENIX (PHO): Additions and changes to the senior management / Rozserzenie i zmiany w składzie menedżmentu wyższego szczebla - raport 31

As part of the Issuer's expansion into its three new key markets Germany, Italy and Australia in 2011 and the ambition to actively participate in the accelerating globalisation of the photovoltaic industry the management board decided to strengthen the senior management by hiring internationally experienced managers for the positions of Chief Financial Officer and Chief Operating Officer while redefining the roles of the existing board members.

As of 11 May 2011 Giulio Medda has been appointed as the new Chief Financial Officer (CFO) of Photon Energy replacing Georg Hotar in this position. Giulio Medda is an Italian national and was born in 1966. He gained extensive international experience as the resident finance and human resources manager for Snamprogetti, the engineering arm of Italian oil & gas group ENI, in UK, Nigeria, Iraq, Lybia, Kuwait, Qatar and Malaysia. In 2003 he joined Accenture in Prague rising from unit leader for outsourced shared financial services centers to European Business Process Outsourcing Finance leader overseeing some 4,000 employees and reporting directly to the global CFO of Accenture.

As of 11 May 2011 Dušan Recman has been appointed as the new Chief Operating Officer (COO) of Photon Energy replacing Tomáš Vaník in this position. Dušan Recman is a Czech national and was born in 1967. After starting his career with the Generali Insurance Company in Vienna and Prague he joined Europ Assistance in Vienna in 1997, to become later the Deputy General Manager. In 2001 he was appointed General Manager of Europ Assistance in the Czech Republic. While in this role, he also became Managing Director in 2003 of Team Trackers, a joint venture between Europ Assistance and Air France running the airline's customer support operations including a call centre to service worldwide claims.

Tomáš Vaník has assumed the role of Head of Group Corporate Management where he will be in charge of managing Photon Energy's fast-growing corporate structure with the objective of ensuring compliance with all laws and regulations in all jurisdictions where Photon Energy establishes subsidiaries and/or conducts its business.

Georg Hotar has replaced Michal Gärtner as Chief Executive Officer (CEO) of Photon Energy and will be in charge of defining and implementing the group's international expansion strategy while leading Photon Energy N.V. through the planned exchange offer to minority shareholders, the planned capital increase and the listing on the main market of the Warsaw Stock Exchange in 2011.

Michal Gärtner has assumed the double role of Chief Technology Officer (CTO) and the Country Head for Australia. As CTO Michal Gärtner will be tasked with driving two of the group's most critical success factors, i.e. the continuous reduction in photovoltaic system costs and being at the forefront of combining PV with energy storage and smart grid technologies as well as their fast introduction to the global market place. This role will require ongoing work with Photon Energy's global suppliers and efficient management of Photon Energy's product development effort. As Country Head Michal, who lived in Australia until 1992, will be in charge of driving Photon Energy's entry into what is widely expected to be one of the fastest growing solar markets in the world over the next decade.

"Over the past three and a half years we have been able to exploit the favourable market conditions in the Czech Republic and Slovakia and to build a successful company with a strong team around a fully-integrated business model. The mere fact that Michal swaps his CEO position for his two new roles are a clear indication how important both energy solutions development and the Australian market are for the continued success of our company. With Giulio Medda and Dušan Recman strengthening our management team we are confident to hand over the daily operations in order to fully focus on driving Photon Energy's growth strategy forward. Taking our company to the next level will require a lot of hard work, but personally I cannot imagine a more rewarding task than Bringing Solar Power to the People throughout the world“, said Georg Hotar.

Michal Gärtner added "After having overseen our growth from start-up to nearly EUR 100 million in revenues in 2010 I feel very excited to drive our market entry into Australia, which based on its features such as an abundance of sun irradiation, a stable legal framework, a functioning financial and banking market and strongly growing energy needs is on the verge of becoming one of the world's first grid parity markets. My CTO role will allow me to build on our company-wide experience and expertise and to turn Photon Energy into a leader in the integration of PV systems with energy storage and smart grid technologies with a view of offering our customers state-of-the-art solutions in the form of affordable and available clean renewable energy. I am convinced that with Giulio and Dušan joining our management team and the redefinition of Georg's and my role we have laid the foundation for our success in the years to come. Despite the strong growth in recent years from a global perspective photovoltaics is still at the very beginning of a development that will be comparable to the proliferation of mobile communications and the internet once the technology becomes globally competitive within the following 2 to 3 years. At Photon Energy we are putting our hearts and minds into achieving the vision of becoming a respected player in one of the most promising growth industries over the next decade.

The management board of Photon Energy N.V. after the completion of the exchange offer for minority shareholders in Photon Energy a.s. is expected to have the same composition.

W związku z dynamiczną ekspansją spółki na trzy kluczowe rynki tj. Niemiec, Włoch oraz Australii w roku 2011 oraz ambicjami aktywnego uczestniczenia w globalizacji przemysłu fotowoltaicznego, Zarząd spółki postanowił wzmocnić menedżment wyższego szczebla o posiadających międzynarodowe doświadczenia menedżerów, którzy obejmą stanowiska: Dyrektora Finansowego oraz Dyrektora ds. Operacyjnych, zmieniając jednocześnie zakres obowiązków obecnych członków Zarządu.

Z dniem 11 maja 2011 r., Giulio Medda obejmuje stanowisko Dyrektora Finansowego Photon Energy (Chief Financial Officer, CFO) zastępując na tym stanowisku Georga Hotara. Gulio Medda jest Włochem urodzonym w roku 1966. Doświadczenia zawodowe zdobywał jako menedżer ds. finansów i zasobów ludzkich w firmie Snamprogetti, która stanowi inżynieryjne ramię włoskiej grupy Italian Oil & Gas Group ENI, w następujących krajach: UK, Nigeria, Irak, Libia, Kuwejt, Katar oraz Malezja. W roku 2003 dołączył do zespołu Accenture w Pradze gdzie z pozycji Dyrektora Oddziału (unit leader) awansował na stanowisko Dyrektora Finansów Europejskiego Centrum Procesów Biznesowych (European Business Process Outsourcing Finance Leader) w Pradze, mając pod sobą 4,000 pracowników oraz raportując bezpośrednio do Dyrektora Finansowego Accenture.

Z dniem 11 maja 2011 r., Dušan Recman obejmuje stanowisko nowego Dyrektora ds. Operacyjnych Photon Energy (Chief Operating Officer, COO) zastępując na tym stanowisku Tomáša Vaníka. Dušan Recman jest obywatelem Czech urodzonym w roku 1967. Po rozpoczęciu swojej kariery w Generali Insurance Company w Wiedniu i Pradze, w roku 1997 dołączył do zespołu Europ Assistance w Wiedniu. W roku 2003 został Dyrektorem Zarządzającym Team Trackers - joint-venture pomiędzy Europ Assistance oraz Air France - zarządzając centrum obsługi klientów linii lotniczych, w tym centrum telefonicznym (call center) obsługującym klientów na całym świecie.

Tomáš Vaník obejmuje rolę kierownika ds. Zarządzania Strukturą Korporacyjną Grupy i będzie odpowiadał za zapewnienie zgodności struktury grupy z wymogami prawa i regulacjami, we wszystkich jurysdykcjach gdzie Photon Energy posiada swoje przedstawicielstwa i/lub prowadzi działalność.

Georg Hotar zastępuje Michala Gärtnera na stanowisku Dyrektora Generalnego Photon Energy (Chief Executive Officer, CEO) i będzie odpowiadał za definiowanie i wdrażanie strategii ekspansji międzynarodowej Grupy prowadząc Photon Energy N.V. przez planowany proces zamiany akcji akcjonariuszy mniejszościowych (exchange offer) oraz podniesienie kapitału i wprowadzenie spółki na rynek główny GPW w roku 2011.

Michal Gärtner obejmuje podwójną rolę Dyrektora ds. Technologii (Chief Technology Officer, CTO) oraz Dyrektora Regionu (Country Head) odpowiadającego za rynek Australii. Jako Dyrektor ds. Technologii Michal Gärtner będzie odpowiadał za dwa z najbardziej istostnych czynników sukcesu tj. obniżanie kosztów instalacji fotowoltaicznych oraz nadzorowanie procesu łączenia energetyki słonecznej z systemami przechowywania energii (energy storage) oraz intelignetnymi technologiami przyłączania do sieci (smart grid technologies) jak również ich szybkim wprowadzeniem na rynek globalny. To stanowisko będzie wymagało stałej współpracy z dostawcami międzynarodowymi oraz pracami nad ciągłym udoskonalaniem produktu. Jako Kierownik Regionu Australii, Michal, który do roku 1992 mieszkał w tym kraju, będzie odpowiedzialny za wprowadzenie Photon Energy na rynek, który ma szansę stać się jednym z najszybciej rozwjających się rynków energetyki słonecznej na świecie, w ciągu następnej dekady.

“W ciągu ostatnich trzech i pół roku, byliśmy w stanie wykorzystać sprzyjające warunki rozwoju biznesu w Czechach i na Słowacji , aby zbudować sukces Photon Energy i jego silny zespół pracujący wokół zintegrowanego modelu biznesowego. Jednakże, dyskontynuacja wsparcia sektora fotowoltaicznego na obu tych rynkach zmusza nas do wyjścia poza nie, co z kolei wymaga większego zespołu oraz wdrożenia nowych struktur i procesów. Podczas gdy wspólnie z Michałem i kierownikami poszczególnych oddziałów byliśmy w stanie skorzystać z koncentracji naszego zespołu w jednej lokalizacji, w sytuacji planowanej ekspansji geograficznej, zdajemy sobie sprawę z potrzeby zwiększenia zespołu o nowych menedżerów, co pozwoli nam uwolnić istniejące zasoby i skupić je na ekspansji na nowe rynki oraz nowe obszary działalności. W tym właśnie celu, lepszego wykorzystania naszych indywidualnych kompetencji, dla dobra firmy i jej akcjonariuszy, zdecydowaliśmy się redefiniować nasz zakres obowiązków. Fakt zastąpienia pozycji Dyrektora Generalnego (CEO) dwiema nowymi rolami, stanowi sygnał jak ważne dla sukcesu naszego biznesu są zarówno rozwój rozwiązań biznesowych jak również wejście na rynek Australijski. Razem z Gullio Meddą oraz Dušanem Recmanem, wzmacniającymi nasz zespół menedżerów, przekazujemy codzienną działalność operacyjną w ręce doświadczonych specjalistów, aby skupić się na strategii dalszego wzrostu Photon Energy. Wzniesienie naszej firmy na kolejny etap rozwoju będzie wymagało dużego nakładu pracy ale osobiście nie mogę sobie wyobrazić bardziej wdzięczengo zadania niż praca nad dostarczaniem ludziom energi słonecznej", powiedział Georg Hotar.

Michal Gärtner dodał: "Po tym jak kierowałem wzorstem naszej firmy ze start-upu do spółki generującej prawie 100mln euro przychodów, czuję się bardzo podekscytowany możliwością wprowadzenia spółki na rynek australijski, który dzięki swoim cechom takim jak obfitość promieniowania słonecznego, stabilny system prawny, efektywny rynek finansowy i bankowy jak również szybko rosnącą konsumpcja ma szansę stać się jednym z pierwszych rynków, w którym nastąpi zrównanie tzw. "grid parity". Jako Dyrektor ds. Technologii (CTO) będę dążył do tego, aby przekształcić Photon Energy w lidera procesów integracji systemów fotowoltaicznych oraz technologii przechowywania energi (energy storage) oraz inteligentych systemów przyłączenia do sieci (smart grid connection) celem oferowania naszym klientom najbardziej nowoczesnych rozwiązań w formie dostępnej, czystej energi odnawialnej. Jestem przekonany, że rozszerzając Zarządu o Gulia oraz Dušana, oraz poprzez przedefiniowanie roli mojej oraz Georga, położyliśmy podwaliny dalszego sukcesu Photon Energy na najbliższe lata. Mimo szybkiego wzrostu sektora w ostatnich latach, z perspektywy globalnej, przemysł fotowoltaiczny jest wciąż w początkowej fazie rowzoju, który można porównać do procesu rozpowszechnienia telefonii komórkowej lub internetu. Oczekujemy, że technologia FV stanie się konkurencjyjna globalnie w ciągu następnych 2-3 lat. W Photon Energy inwestujemy nasze serca i umysły, aby urzeczywistnić wizję zostania znaczącym graczem w jednym w najbardziej obiecujących sektorów najbliższej dekady".

Zarząd Photon Energy N.V. po zakończeniu procesu zamiany akcji akcjonariuszy mniejszościowych w Photon Energy a.s. będzie miał ten sam skład.
