Statement on Corporate Governance of Tatry mountain resorts, a.s.in relation to “The Code of Best Practice for WSE Listed Companies"

The Board of Directors of Tatry mountain resorts, a.s. (the "Company") informs that the Company acknowledges the importance of good corporate governance and intends to comply with the Slovak, Czech and Polish corporate governance codes as wide as it is practicable. Notwithstanding, at the time of the debut at the Warsaw Stock Exchange, the Company does not comply with the following rules:

Rule I.5: Even though the Company has its remuneration policy and rules defining its remuneration policy, the Company has so far never disclosed a remuneration statement detailing the remuneration of its directors and members of the Board. However, the Company does not exclude that in the future it will publish the remuneration statement as an integral part of its annual report or other relevant document.

Rule I.9, according to which there should be ensured a balanced proportion of women and men in management and supervisory functions in company. Currently, there are no women in governing bodies of the Company. However, the Company entirely supports equal representation of women in its business, and also does not exclude the possibility that such recommendation will be implemented in the future.

Rule III.6, according to which at least two members of the Supervisory Board shall be independent. Currently, there is only one independent member in the Supervisory Board. However, the Company does not exclude that in the future the number of independent members will increase upon new shareholders decision.
